Introduction
Welcome to Nexus AI, a product of Verbosec. These Terms of Service ("Terms") govern your use of the Nexus AI website located at https://mynexusai.com and the Nexus AI portal at https://app.mynexusai.com. By accessing or using our platform, services, and features, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our platform.
1. Definitions
◉ "Nexus AI" refers to the product offered by Verbosec, including but not limited to the Nexus AI website and portal, services, and any related applications or platforms.
◉ "We", "us", "our" refers to Nexus AI, Verbosec or Verbosec, Inc.
◉ "You" refers to the user or individual using the services provided by Nexus AI.
◉ "Platform" refers to the websites and applications, including but not limited to https://mynexusai.com and https://app.mynexusai.com.
2. Acceptance of Terms
By using Nexus AI’s platform, you agree to these Terms, which govern the conditions of your use of our services. You also acknowledge that you have read and understood our Privacy Policy and Disclaimer, which are incorporated into these Terms by reference.
3. Eligibility
◉ Nexus AI is intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use our Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to using our platforms.
◉ If you are using Nexus AI on behalf of an organization or company, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration
To access certain features of Nexus AI, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify us immediately.
5. Use of Nexus AI Platform
You agree to use Nexus AI’s services for lawful purposes only. You are responsible for all content you generate or upload using our platform. You must not:
◉ Use our platform for any unlawful activity or any fraudulent business practice.
◉ Use the platform in a way that may impair or harm its functionality.
◉ Interfere with the use of the platform by others.
◉ Misrepresent the origin of any content or impersonate another person or entity.
◉ Engage in scraping, data harvesting, or automated access to the platform’s data.
6. Plans and Subscriptions
Nexus AI offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay all fees due for your selected plan, including applicable taxes. Subscription fees are non-refundable, except as stated in our Refund Policy or as required by law. You may cancel your subscription at any time, but you will not receive a refund for any unused portion of your subscription.
7. Payments
If you purchase a subscription or other service from Nexus AI, you agree to provide accurate payment information. You authorize us to charge your payment method for all fees due. All payments are made in U.S. dollars unless otherwise specified. Subscription payments are recurring and will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
8. Intellectual Property
All content, materials, features, and services provided by Nexus AI, including software, designs, and trademarks, are the intellectual property of Verbosec or our licensors. You agree not to modify, reproduce, distribute, or exploit any part of the platform or its services without express permission.
9. User-Generated Content
You retain ownership of the content you create or upload using Nexus AI. However, by submitting content through our platform, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, distribute, and display your content for the purpose of operating and improving the platform. You also represent that you own or have the necessary permissions to use any content submitted through Nexus AI.
10. AI Output
Nexus AI uses AI technologies, including models from third-party providers such as Microsoft, to generate content based on user inputs. You acknowledge that the AI-generated content may not always be accurate, complete, or compliant with the legal and regulatory standards applicable to your field. You are solely responsible for any content generated through Nexus AI and for ensuring that it meets your requirements, including but not limited to academic, business, or legal standards.
11. Cancellation and Refund Policy
You may cancel your subscription at any time by navigating to your account settings. Upon cancellation, you will retain access to paid services until the end of your current billing cycle. No refunds will be provided for partial billing periods.
12. Privacy
We respect your privacy. Please refer to our Privacy Policy for information on how we collect, use, and disclose information from our users.
13. Limitation of Liability
Verbosec will not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of the Nexus AI platform, including but not limited to your inability to access the services. Verbosec’s maximum liability in any claim or dispute will be the lesser of $144 USD or the amount you paid to us in the preceding three months.
14. Disclaimer of Warranties
The Nexus AI platform is provided on an "as is" and "as available" basis. Verbosec disclaims all warranties, whether express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees regarding the availability or performance of the platform.
15. Indemnification
You agree to defend, indemnify, and hold harmless Verbosec, its officers, directors, employees, and agents, from any claims, liabilities, damages, or expenses, including attorney’s fees, arising from your use of the platform, breach of these Terms, or violation of any applicable law.
16. Modifications and Interruptions
Verbosec reserves the right to change, modify, or remove the contents of the platform at any time, at our sole discretion, without notice. We are not liable for any modification, price change, suspension, or discontinuance of the platform. We cannot guarantee that the platform will always be available. There may be times when it is unavailable due to technical issues or maintenance. Verbosec is not responsible for any losses or damages incurred during any downtime.
17. Governing Law
These Terms and any disputes arising from your use of Nexus AI are governed by and construed in accordance with the laws of the State of Delaware, USA, and the Republic of Botswana, without regard to conflict of law principles.
18. Dispute Resolution
Informal Negotiations
You and Verbosec agree to first attempt to resolve any disputes informally. Negotiations must take place within 30 days after written notice of the dispute.
Binding Arbitration
If the dispute cannot be resolved through informal negotiations, it will be submitted to binding arbitration in Delaware or Botswana. Arbitration will be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA).
Exceptions
Disputes related to intellectual property rights, piracy, and other specific claims are exempt from informal negotiations and arbitration and may be resolved in court.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
20. Entire Agreement
These Terms constitute the entire agreement between you and Verbosec with respect to your use of Nexus AI, and supersede any prior agreements.
